These Terms & Conditions apply to the use of the TDB Hanoi website and provide general commercial terms applicable to quotations, orders, and B2B manufacturing transactions with TDB Hanoi unless otherwise agreed in writing.
TDB Hanoi is a precision manufacturing company in Vietnam providing CNC machining, custom component manufacturing, and related manufacturing and supply chain solutions for customers in the United States, Europe, and other global markets.
Project-specific requirements and commercial terms will be defined in the applicable quotation, purchase order, order confirmation, technical agreement, quality agreement, NDA, supply agreement, or other written agreement between TDB Hanoi and the customer.
To provide an accurate manufacturing quotation, customers should provide relevant information including:
2D drawings and/or 3D CAD files
Drawing revision
Material specifications
Dimensional and geometric tolerances
Surface finishing requirements
Estimated quantities
Quality and inspection requirements
Required certificates or documentation
Packaging requirements
Delivery destination and requested schedule
Other relevant technical or commercial requirements
Submission of an RFQ does not constitute a binding purchase or manufacturing agreement.
TDB Hanoi may request additional technical or commercial information before issuing a quotation.
Unless otherwise stated, quotations may be subject to revision if any project requirement changes, including:
Drawing or revision changes
Material changes
Quantity changes
Tolerance changes
Surface treatment changes
Inspection or certification requirements
Packaging requirements
Delivery schedules or destinations
Manufacturing processes
Exchange rates or significant changes in material or external processing costs
Quotation validity, pricing, tooling charges, lead times, payment terms, delivery terms, and other commercial conditions will be specified in the applicable quotation.
An order is considered confirmed when TDB Hanoi has reviewed the applicable commercial and technical requirements and issued an order confirmation or otherwise accepted the order in writing.
If there is any discrepancy between a Purchase Order and TDB Hanoi’s quotation or order confirmation, the parties should resolve the discrepancy in writing before production begins.
Changes requested after order confirmation may affect price, tooling, production schedule, inspection requirements, and delivery date.
Where applicable, delivery terms may reference Incoterms® 2020 published by the International Chamber of Commerce (ICC).
The applicable Incoterm and named place or destination should be stated in the relevant commercial documentation, for example:
FCA [Named Place], Incoterms® 2020
FOB [Named Port], Incoterms® 2020
CPT [Named Destination], Incoterms® 2020
DAP [Named Destination], Incoterms® 2020
The specific delivery term will determine the respective responsibilities of TDB Hanoi and the customer regarding transportation, costs, risk, customs procedures, and other delivery obligations.
Unless specifically included in TDB Hanoi’s quotation or agreed in writing, import duties, import taxes, customs charges, destination handling charges, and other charges arising in the destination country are the responsibility of the customer according to the applicable delivery term.
Depending on the customer relationship, order value, tooling requirements, and project characteristics, payment arrangements may include advance payment, deposits, milestone payments, payment before shipment, or agreed credit terms.
Bank charges, currency, payment schedule, and other payment conditions will be defined in the applicable commercial documentation where required.
Customers are responsible for making payments according to the agreed schedule.
TDB Hanoi reserves the right to delay the start of production, suspend production, or postpone shipment where required payments have not been received according to the agreed payment terms.
Lead time may depend on:
Material availability
Component complexity
Order quantity
Tooling requirements
Production capacity
Surface treatments and secondary processes
Inspection and testing requirements
Customer approval requirements
Third-party inspection requirements
Packaging requirements
Logistics arrangements
Unless otherwise agreed, the production lead time begins after TDB Hanoi has received all information and conditions necessary to start production, which may include confirmed drawings, technical requirements, order confirmation, required payment, and customer approvals.
Any estimated lead time provided before final order confirmation is for planning purposes only.
TDB Hanoi will make reasonable efforts to meet confirmed delivery schedules and will communicate material changes affecting the expected delivery date.
Our quality control process may include, as applicable:
Incoming material verification
In-process inspection
Dimensional inspection
Final inspection
CMM or other precision measurement
Visual inspection
Inspection records
Material documentation
Traceability documentation
Other customer-specified quality requirements
Customer-specific inspection requirements must be communicated during the RFQ stage and confirmed before production.
Where required, inspection reports, material certificates, Certificates of Conformance, or other quality documentation may be provided according to the agreed project requirements.
The scope, inspection criteria, timing, inspection location, documentation requirements, and associated costs should be agreed before production or before the relevant inspection stage.
Unless otherwise agreed in writing, third-party inspection does not relieve either party of its obligations under the applicable manufacturing agreement, approved drawings, specifications, or quality requirements.
TDB Hanoi will reasonably cooperate with approved third-party inspectors and provide access to relevant products and agreed quality documentation subject to applicable confidentiality, safety, and facility requirements.
If products are believed to be non-conforming, the customer should notify TDB Hanoi promptly and provide sufficient information to evaluate the issue, which may include:
Purchase order or lot information
Part number and drawing revision
Quantity affected
Description of the non-conformity
Inspection or measurement results
Photographs or supporting documentation
TDB Hanoi will review the reported non-conformity and, where appropriate, investigate the cause and propose corrective action.
Depending on the circumstances and applicable agreement, an agreed resolution may include sorting, rework, repair, replacement, credit, or another mutually accepted corrective action.
Products should not be returned, reworked, scrapped, or otherwise disposed of at TDB Hanoi’s expense without prior written authorization unless otherwise agreed.
Warranty claims must provide sufficient information to identify and evaluate the reported non-conformity.
The warranty does not apply to defects or failures resulting from circumstances outside TDB Hanoi’s manufacturing responsibility, including where applicable:
Improper installation or assembly
Improper handling or storage
Misuse or operation outside intended conditions
Unauthorized modification or rework
Normal wear and tear
Customer-provided designs or specifications that cause the issue
Damage occurring after transfer of risk under the agreed delivery terms
Where a valid manufacturing defect attributable to TDB Hanoi is confirmed, the appropriate remedy will be determined according to the applicable agreement and circumstances of the claim.
Project-specific warranty periods and remedies may be defined separately in the quotation, purchase order, supply agreement, or other written contract.

Current and properly revision-controlled
Suitable for the intended manufacturing requirements
Authorized for disclosure and use
TDB Hanoi will manufacture products based on the approved technical information provided by the customer.
Customers should notify TDB Hanoi promptly of drawing revisions or specification changes.
Changes received after quotation, order confirmation, material procurement, tooling, or production has begun may result in additional costs and revised lead times.
Confidential information may include:
2D drawings
3D CAD models
Bills of materials
Technical specifications
Product designs
Manufacturing requirements
Quality documentation
Pricing and commercial information
Supplier and sourcing information
Forecasts and production volumes
Other proprietary business information
Such information will be used only as reasonably necessary to evaluate, quote, plan, manufacture, inspect, deliver, or support the relevant project.
Where a separate Non-Disclosure Agreement (NDA) or confidentiality agreement exists, that agreement will govern the handling of confidential information according to its terms.
Customers are responsible for ensuring that they have the necessary rights and authorization to provide intellectual property and technical information to TDB Hanoi.
Customer-owned drawings, designs, and intellectual property remain the property of the respective owner unless otherwise agreed in writing.
Payment for tooling or fixtures does not automatically determine ownership unless ownership is expressly agreed in writing.
TDB Hanoi’s general manufacturing know-how, production methods, processes, programming methods, standard tooling, and independently developed manufacturing knowledge remain the property of TDB Hanoi unless otherwise agreed.
Where material certificates, specific grades, approved sources, country-of-origin requirements, or traceability are required, these requirements should be communicated during the RFQ stage.
Where customers provide materials, components, tooling, or other property for manufacturing, responsibility for suitability, quantity, condition, and replacement should be defined in the applicable agreement.
Any special packaging requirements, including:
Export packaging
Individual packaging
Protective films
Corrosion protection
Special labeling
Barcodes
Customer-specific packaging
Reusable packaging
should be communicated during the RFQ stage and may affect quotation pricing.
Where customers provide materials, components, tooling, or other property for manufacturing, responsibility for suitability, quantity, condition, and replacement should be defined in the applicable agreement.
TDB Hanoi will review the impact of the requested change on:
Manufacturability
Materials
Work already completed
Tooling
Quality requirements
Pricing
Production schedule
Delivery date
Production of the affected components may be suspended until the change is reviewed and mutually confirmed where necessary.
Where customers provide materials, components, tooling, or other property for manufacturing, responsibility for suitability, quantity, condition, and replacement should be defined in the applicable agreement.
Purchased materials
Completed or partially completed products
Tooling
Engineering work
External processing
Inspection
Packaging
Other committed project costs
Cancellation terms will depend on the status and requirements of the individual order.
Where customers provide materials, components, tooling, or other property for manufacturing, responsibility for suitability, quantity, condition, and replacement should be defined in the applicable agreement.
TDB Hanoi will not assume responsibility for indirect or consequential losses except where expressly agreed in writing or required by applicable law.
Any project-specific liability requirements should be agreed in writing before order confirmation.
TDB Hanoi reserves the right to decline projects or transactions that cannot be performed in accordance with applicable laws, regulations, sanctions, export controls, or other legal requirements.
21. Governing Terms and Contract Priority
These website Terms & Conditions provide general terms and information relating to TDB Hanoi’s B2B manufacturing activities.
Where a specific written agreement exists, the applicable documents may include:
Signed supply or manufacturing agreement
Quality agreement or NDA, for matters within their respective scope
Accepted order confirmation
TDB Hanoi quotation
Accepted Purchase Order
Approved drawings and technical specifications
These general Terms & Conditions
The applicable priority of documents may be separately agreed between TDB Hanoi and the customer.
In the event of a conflict, specifically negotiated and mutually accepted written terms will take precedence over these general website Terms & Conditions for the relevant transaction.
22. Governing Law & Dispute Resolution
The governing law, jurisdiction, arbitration procedure, and dispute resolution mechanism applicable to a specific transaction should be stated in the relevant supply agreement, sales contract, quotation, order confirmation, or other mutually accepted written agreement.
Where international customers require specific dispute resolution provisions, these should be agreed before order confirmation.
23. Privacy
Personal, business, RFQ, and technical information submitted through this website will be handled in accordance with TDB Hanoi’s Privacy Policy and applicable contractual confidentiality obligations.
24. Changes to These Terms
TDB Hanoi may update these Terms & Conditions from time to time to reflect changes in our business operations, manufacturing services, website, or applicable requirements.
The latest version will be published on this page with an updated revision date.
